Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and buysignal.ai (“Company,” “we,” “us,” or “our”), a Delaware limited liability company, governing your access to and use of the buysignal.ai platform, including all related tools, features, data, content, and services (collectively, the “Service”).

By creating an account, accessing the Service, or using any part of the platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

These Terms are separate from and complementary to our Disclaimer, which addresses financial risk disclosures and regulatory matters, and our Privacy Policy, which governs the collection and use of your data. All three documents together govern your relationship with buysignal.ai.

2. Eligibility

To use the Service, you must be at least 18 years of age, have the legal capacity to enter into a binding agreement in your jurisdiction, and not be prohibited from using the Service under any applicable law or regulation. By creating an account, you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, current, and complete information during registration. You agree to update your information promptly if it changes. We reserve the right to suspend or terminate accounts created with false or misleading information.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to notify us immediately at support@buysignal.ai if you become aware of any unauthorized access to or use of your account. You are responsible for all activity that occurs under your account, whether or not authorized by you.

3.3 One Account Per User

Each user may maintain only one active account. Creating multiple accounts to circumvent usage limits, access restrictions, or for any other purpose is prohibited and may result in termination of all associated accounts.

4. Service Description

buysignal.ai provides quantitative market analysis tools, including AI-generated trading signals across multiple strategies, stock screening and filtering capabilities, sector rotation and market regime analysis, options flow and volatility analytics, an AI-powered research assistant (signalGPT), signal tracking with forward performance monitoring, and additional analytical tools as developed and released.

The Service is designed to provide informational and analytical tools. It does not constitute investment advice, and no aspect of the Service should be interpreted as a recommendation to buy, sell, or hold any security. See our Disclaimer for complete financial risk disclosures.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for your own personal, non-commercial analysis and research. You may use signals, data, and analysis provided through the Service to inform your own investment decisions, subject to the limitations described in our Disclaimer.

5.2 Prohibited Conduct

You agree not to engage in any of the following:

• Scraping, crawling, or using any automated means to extract data, signals, or content from the Service, whether through bots, scripts, browser extensions, or any other technology.
• Redistributing, republishing, sublicensing, selling, or otherwise making available any data, signals, analysis, or content from the Service to any third party, whether for commercial or non-commercial purposes.
• Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, models, scoring logic, thresholds, or any other proprietary methodology underlying the Service.
• Creating derivative works, competing products, or alternative datasets based on or substantially derived from information obtained through the Service.
• Circumventing, disabling, or interfering with any security, access control, rate-limiting, or authentication features of the Service.
• Using the Service to provide signal delivery, alert services, or analytical tools to third parties, whether directly or through intermediary platforms.
• Sharing your account credentials, session tokens, or access with any other person or entity.
• Using the Service in any manner that violates applicable law or regulation, including securities laws, market manipulation rules, or data protection requirements.

5.3 Monitoring and Enforcement

We reserve the right to monitor usage patterns to detect violations of these Terms. We may, at our sole discretion, suspend or terminate your access, remove content, or take any other action we deem appropriate to enforce these Terms, with or without notice.

6. Intellectual Property

6.1 Company Ownership

All content, data, signals, algorithms, models, scoring methodologies, analytical frameworks, software, code, user interface designs, trademarks, trade dress, and all other intellectual property associated with the Service are and remain the exclusive property of buysignal.ai. This includes, without limitation, proprietary signal generation algorithms, market regime classification models, quantitative scoring and ranking systems, sector rotation and breadth analysis methods, options flow analysis frameworks, and the signalGPT AI assistant and its underlying configurations.

Nothing in these Terms grants you any ownership interest in the Service or its intellectual property. Your right to use the Service is limited to the license expressly granted in Section 6.2.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use during the term of your account. This license does not include the right to modify, copy, distribute, transmit, display, reproduce, or create derivative works from the Service or any of its content.

6.3 Systematic Data Collection Prohibited

The systematic retrieval, collection, compilation, or storage of data or content from the Service, whether through automated tools or manual processes, for the purpose of creating or contributing to any database, directory, dataset, or collection is strictly prohibited. This prohibition applies regardless of whether the data is publicly accessible through the Service interface.

6.4 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such feedback for any purpose without obligation or compensation to you.

7. Subscription and Payment

7.1 Beta Period

During the beta period, the Service is provided free of charge. We reserve the right to introduce paid subscription tiers, modify features available at each tier, or discontinue free access at any time. We will provide reasonable notice before any transition from free to paid access.

7.2 Future Paid Plans

When paid subscription plans are introduced, the applicable pricing, billing cycles, payment methods, cancellation terms, and refund policies will be communicated to you in advance and incorporated into these Terms by reference or through a supplemental agreement. Continued use of the Service after the introduction of paid plans constitutes acceptance of the applicable pricing terms.

7.3 Taxes

You are responsible for any taxes, duties, or levies applicable to your use of or payment for the Service under the laws of your jurisdiction.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described therein.

We may collect and use aggregated, anonymized usage data to improve the Service, develop new features, and conduct internal research. Such aggregated data does not identify you individually.

9. Service Availability and Modifications

9.1 No Uptime Guarantee

While we strive to maintain consistent availability, the Service is provided on an “as available” basis. We do not guarantee uninterrupted, timely, or error-free operation. Scheduled maintenance, data feed issues, infrastructure failures, and other circumstances may result in temporary unavailability.

9.2 Modifications

We reserve the right to modify, update, or discontinue any feature, tool, dataset, signal strategy, or other aspect of the Service at any time, with or without notice. We are not obligated to maintain, support, or update any particular feature or functionality.

9.3 Signal Accuracy

Signals, scores, and analytics are generated by automated quantitative models. These models have inherent limitations and are not guaranteed to be accurate, complete, or timely. You should not rely on any single signal or output from the Service as the sole basis for any investment decision.

10. Third-Party Content and Services

The Service may incorporate data, information, or content from third-party providers. We do not control, endorse, or guarantee the accuracy of third-party content. The Service may also contain links to third-party websites or services, which are provided for convenience only and are not governed by these Terms.

Your interactions with any third-party service accessed through or referenced by the Service are solely between you and that third party. We are not responsible for the availability, accuracy, or practices of any third-party service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SIGNALS, DATA, OR ANALYSIS PROVIDED WILL BE ACCURATE, RELIABLE, OR PROFITABLE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYSIGNAL.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless buysignal.ai and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Service, your violation of these Terms, your violation of any third-party right, or any investment or trading decision you make based on information obtained through the Service.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at support@buysignal.ai. Upon termination, your right to access the Service will cease immediately.

14.2 Termination by Us

We may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, suspected fraudulent or abusive activity, extended inactivity, or discontinuation of the Service.

14.3 Effect of Termination

Upon termination, your license to use the Service is immediately revoked. Sections 5.2 (Prohibited Conduct), 6 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and this Section 14.3 shall survive termination.

We are not obligated to retain, export, or provide access to any data, signals, or content associated with your account following termination, though we will handle personal data in accordance with our Privacy Policy.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.2 Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware or, at our discretion, remotely. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of any class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15.4 Injunctive Relief

Notwithstanding the arbitration provisions above, we retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or to prevent irreparable harm.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service interface or via email to the address associated with your account. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

17. General Provisions

Entire Agreement. These Terms, together with the Disclaimer and Privacy Policy, constitute the entire agreement between you and buysignal.ai regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
